1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Ella and EllaVoice services ("Services") provided by Telappliant Ltd ("Telappliant", "we", "us", "our"), a company registered in England and Wales. By accessing or using our Services, you agree to be bound by these Terms.
2. Description of Services
Telappliant provides AI-powered voice assistant solutions under the Ella and EllaVoice brands. Our Services include automated call handling, intelligent call routing, appointment scheduling, customer support automation, and related features as described on our website and in your service agreement.
3. Account Registration
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information, and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights.
- Transmit unlawful, harassing, defamatory, or fraudulent content.
- Attempt to gain unauthorised access to our systems or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services to make automated calls that violate telecommunications regulations (e.g., unsolicited robocalling).
- Reverse-engineer, decompile, or attempt to extract the source code of our AI models.
5. Subscription and Payments
Access to our Services is provided on a subscription basis. Fees are as set out in your service agreement or on our pricing page. All fees are exclusive of applicable taxes unless stated otherwise. Payments are non-refundable except as required by law or as specified in your agreement.
6. Service Level Agreement
We commit to maintaining the availability and performance of our Services as described in the applicable SLA. Enterprise customers may negotiate custom SLAs. Our standard uptime commitment and support response times are detailed in your service agreement.
7. Data Processing
Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement. You are responsible for ensuring you have the appropriate legal basis to process personal data through our Services, including obtaining any necessary consents from callers.
8. Intellectual Property
All intellectual property rights in the Services, including our AI models, software, branding, and documentation, remain the property of Telappliant. You are granted a limited, non-exclusive, non-transferable licence to use the Services for the duration of your subscription. Your data remains your property at all times.
9. Confidentiality
Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party during the course of the relationship. This obligation survives termination of these Terms for a period of three years.
10. Limitation of Liability
To the maximum extent permitted by law, Telappliant's total aggregate liability under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
11. Indemnification
You agree to indemnify and hold harmless Telappliant from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Suspension and Termination
We may suspend or terminate your access to the Services if you breach these Terms or fail to pay applicable fees. Upon termination, your right to use the Services ceases immediately. You may export your data for up to 30 days following termination, after which it may be deleted.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, or telecommunications failures.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
